Terms of service
Last updated:
These terms govern the use of SEO Cockpit.
1.Provider
SEO Cockpit is provided by Gerald Schandl, SimpleWebDesign, Sonnleite 20, 3902 Vitis, Austria (“provider”). Email: info[at]simplewebdesign.at.
2.Scope and target group
These terms apply to all contracts on the use of SEO Cockpit between the provider and its customers. Deviating terms of the customer do not apply unless the provider agrees to them in writing.
SEO Cockpit is primarily intended for businesses, self-employed persons, agencies and other users acting in a professional capacity. Consumers are not excluded. If the customer is a consumer, mandatory statutory consumer rights remain unaffected; provisions that apply to businesses only are expressly marked as such in these terms.
3.Conclusion of the contract
An organization can first try SEO Cockpit free of charge (see “Free trial”). A paid contract is concluded when an owner or admin of the organization completes Paddle's checkout for a paid subscription. If this happens during a running trial, the paid period only starts when the trial ends.
Ordering, payment processing and invoicing are handled by Paddle.com, which acts as the seller (merchant of record); Paddle's buyer terms additionally apply to this process. The provider delivers the SEO Cockpit service under these terms.
4.Services
SEO Cockpit is a web application (software as a service) that imports, stores and analyses data from Google Search Console and, optionally, Google Analytics 4 for the customer's websites, and provides it as dashboards, rule-based alerts and reports (in the browser, as PDF and by email). The scope of functions results from the product description at the time the contract is concluded.
Analyses, alerts and reports describe the stored data. They are not advice and not a promise of particular rankings, traffic or business results.
5.Account and access
Access is currently granted by invitation. Users sign in with a sign-in link sent to their email address; review or demo accounts set up by the provider can also sign in with a password. Within an organization, members have the roles owner, admin, member or client; the rights of the roles result from the application. Only owners and admins manage the subscription.
The customer is responsible for whom they invite to their organization and which role they assign.
6.Google connections and data provision
To use the service, the customer connects their own Google accounts with read-only access. The customer ensures that they are authorized to access the connected Search Console and Analytics properties.
The data comes from Google. The provider has no influence on its availability, completeness or accuracy, on delays in Google's data or on changes to Google's interfaces. SEO Cockpit indicates which data is final and which is preliminary.
7.Reports and analyses
The customer may pass on reports created with SEO Cockpit to their own clients. Rule-based alerts are based on documented rules and thresholds; the absence of an alert does not mean that there are no problems.
8.MCP access
The customer can create read-only MCP access tokens for their organization. They are responsible for keeping the tokens confidential, for the MCP clients they connect and for the further processing of the data retrieved via MCP. Tokens can be revoked at any time. In addition, owners and admins can connect SEO Cockpit as an app in ChatGPT with their express consent (read-only access to one organization) and disconnect it at any time under “Connected apps”; the same responsibilities apply.
9.Availability and maintenance
The provider operates SEO Cockpit with due care. No particular availability is promised. Maintenance, updates and disruptions outside the provider's control, in particular changes, delays or outages of Google's interfaces and other external services, can temporarily restrict use. The provider carries out maintenance in a way that affects use as little as possible.
10.Customer obligations
The customer and their users undertake to
- keep access to the email addresses used for sign-in, sign-in links and MCP tokens confidential and not pass them on to unauthorized persons,
- only connect Google accounts and properties they are authorized to use,
- only enter report recipients who may receive the reports,
- use SEO Cockpit only lawfully and not abusively, in particular not in a way that impairs its operation,
- not circumvent technical protection measures or attempt to access data of other organizations.
11.Rights of use
For the term of the contract, the customer receives a non-exclusive, non-transferable right to use SEO Cockpit as intended. All rights to their data remain with the customer. The provider uses the customer's data only to provide the service.
12.Data protection
Information on the processing of personal data can be found in the privacy policy.
Insofar as the provider processes personal data on behalf of the customer (Art. 28 GDPR), the parties conclude a data processing agreement at the customer's request.
13.Free trial
Each organization can try SEO Cockpit free of charge once for 7 days; no payment method is required for this. At least one active website is required (see “Prices and payment”). No costs are incurred during the trial.
If no payment method has been added by the end of the trial period, the trial ends automatically without any costs. Afterwards, the organization's analyses are only accessible again once a paid subscription is taken out; there is no second trial. The stored data is kept until then (see “End of contract and data”).
14.Prices and payment
SEO Cockpit is billed with one subscription per organization. An organization can manage several websites. The price applies per active website and billing period (monthly or yearly, depending on the billing period chosen); the total price is the price per website multiplied by the number of active websites. Prices are listed in the price overview; the specific amount including applicable taxes is shown in the checkout before the order is completed.
A website counts as active if it is not paused or archived and a Google Search Console property is connected to it; other websites are not billed. Adding, pausing or archiving websites can change the amount billed. If an organization no longer has an active website, the subscription is canceled at the end of the current billing period. During the trial period, the number of active websites at the end of the trial counts; afterwards, changes are calculated pro rata and settled with the next invoice.
As merchant of record, Paddle processes the payments, issues the invoices and remits the taxes. If a payment fails, Paddle retries it; access continues in the meantime. If payment is ultimately not made, the subscription can be paused or ended.
15.Term, renewal and cancellation
Monthly subscriptions run for one month at a time, yearly subscriptions for one year at a time. They renew automatically for the same period unless they are canceled. There is no minimum term beyond that.
The customer can cancel the subscription at any time. Owners and admins of the organization cancel via “Manage subscription” in the subscription settings, which opens Paddle's customer portal. Cancellation takes effect at the end of the billing period already paid for; access continues until then.
The right of both parties to terminate for good cause remains unaffected.
16.Refunds
Refunds are governed by the refund policy.
17.Consumer rights
The statutory rights of consumers, in particular any statutory right of withdrawal and the statutory warranty, remain unaffected by these terms. No provision of these terms restricts mandatory consumer rights.
18.Suspension
The provider may temporarily suspend access for individual users or an organization insofar as this is necessary because of abusive use, a legal violation or a security risk. In doing so, the provider takes the customer's legitimate interests into account, limits the suspension to what is necessary and informs the customer as soon as this is possible without jeopardizing its purpose.
19.End of contract and data
When the subscription ends, access to the analyses ends. The stored data is not deleted immediately, so that the organization can continue with SEO Cockpit under a new subscription. The customer can request the deletion of their data at any time; otherwise, deletion is governed by the privacy policy.
20.Liability
The provider is liable without limitation for intent and gross negligence and for personal injury. Mandatory statutory liability provisions remain unaffected.
Towards businesses, liability for property damage and financial loss caused by slight negligence is excluded to the extent permitted by law. Towards consumers, the statutory provisions apply.
The provider is not liable for achieving particular rankings, traffic or business results, nor for changes, delays or outages of external services such as Google Search Console or Google Analytics for which the provider is not responsible.
21.Changes to the service and these terms
The provider develops SEO Cockpit further and may add, change or remove functions as long as the essential scope of services agreed remains intact.
The provider may change these terms for objective reasons, in particular in the event of changes in the law, changes to the services of SEO Cockpit or for security reasons. Changes that significantly shift the balance between service and consideration to the customer's disadvantage require the customer's express consent.
The provider notifies the owners and admins of the organization of changes by email at least 30 days before they take effect. If the customer does not agree, they can cancel the subscription before the changes take effect; the previous terms then continue to apply to them until the end of the paid billing period. If the customer does not cancel, the changed terms apply from the date they take effect; the provider expressly points this out in the notification.
22.Governing law and place of jurisdiction
Austrian law applies, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods. Towards consumers, this choice of law applies only insofar as it does not deprive them of the protection of mandatory provisions of the law of their habitual residence.
If the customer is a business, the place of jurisdiction is the court having subject-matter jurisdiction for the provider's registered location. For consumers, the statutory places of jurisdiction apply.
23.Final provisions
Should individual provisions of these terms be invalid, the validity of the remaining provisions remains unaffected.
These terms are available in German and English. In case of discrepancies, the German version prevails.
